The Paralegal supports the Company’s VP, Operations & General Counsel. This individual has significant experience aiding in the drafting, negotiating, and managing of the following agreements for life sciences / pharma companies: confidentiality agreements, consulting agreements, material transfer agreements, master services agreements (and related scopes of work), clinical trial agreements, vendor agreements, and research agreements. The Paralegal must be able to work independently to draft modifications to company template agreements. Must be proactive, flexible, and collaborative with minimal supervision.

Responsibilities

  • Prepare and review client-specific consulting agreements, material transfer agreements, master services agreements (and related scopes of work), clinical trial agreements, and sponsored research agreements using BERG templates for various areas of the business
  • Assist the in managing the negotiation and revision process of agreements to conclude agreements as efficiently as possible while protecting BERG’s interests
  • File management and organization, including the management of contracts database
  • Track legal invoices and budget; assist in the budget to actuals activities
  • Monitor and track continued compliance under executed agreements
  • Provide general corporate support as needed, including assistance with management meetings, Board agendas, minutes and materials
  • Assist with the implementation and administration of BERG’s compliance program
  • Answer internal questions about executed agreements
  • Assist with docketing reminders for IP portfolio
  • Assist with arranging meetings, calendaring, and travel
  • Other duties, as assigned

Qualifications

  • Requires a Bachelor’s Degree with 5+ years’ experience supporting life sciences or pharma companies as a Paralegal
  • Massachusetts Paralegal Certificate
  • Ability to be flexible, proactive, independent, and successful in a fast-paced work environment
  • Positive attitude and a team player
  • Board minutes and other corporate experience preferred
  • Healthcare compliance experience is preferred
  • Intellectual property experience is desired, but not required
